1.1. These general terms and conditions of sale (“Terms”) apply to the sale of digital voucher products that SimplyCodes sells in its own name via the webshop www.vgo-shop.com (“Webshop”) (“Vouchers”).
1.2. These Terms do not apply to prepaid products that SimplyCodes sells in the name and on behalf of the respective issuer via the Webshop (“Agency Products”). Agency Products are marked in the Webshop with the notice “Agency sale in the name of [the issuer]”.
2.1. Your contracting party for the purchase of Vouchers is SimplyCodes GmbH, Turmstraße 49, 23843 Bad Oldesloe, telephone: +49 (0) 1522 7800630, e-mail: [email protected] (“SimplyCodes”).
2.2. The Webshop is operated by SimplyCodes.
3.1. The presentation of the Vouchers in the Webshop does not constitute a binding offer to conclude a purchase contract.
3.2. You submit a binding offer when you click the button “order with obligation to pay” in the ordering process. Confirmation of receipt of the order is sent immediately by e-mail and at the same time constitutes acceptance of your offer. In addition to the order data, the e-mail contains these Terms.
3.3. The contract is concluded and processed in German, French, Italian, Portuguese, Spanish or English.
3.4. Orders are stored by SimplyCodes. If you are registered, you can view an overview of the orders you have placed in your user account.
4.1. With regard to the features of the Vouchers, the voucher terms of the respective issuer apply.
5.1. The purchase price is a total price.
5.2. The total price includes the VAT applicable at the time.
5.3. The purchase price is due upon conclusion of the purchase contract.
6.1. The following payment methods are available for paying for the ordered Vouchers: Mastercard, VISA, American Express, PayPal, Klarna, Zastrpay, tink, Wero, or SEPA bank transfer.
6.2. If you select a payment method under which we make advance performance or which entails a risk of payment default for us, we reserve the right to carry out a credit check before accepting the order.
6.3. Set-off against payment claims of SimplyCodes is only permitted with claims that have been finally established by a court or are undisputed.
7.1. The Vouchers are delivered by retrieval from our delivery portal. You will receive an individual link for this purpose by e-mail to the e-mail address you have provided. If you have registered, the Voucher will also be displayed in your customer account.
7.2. Delivery usually takes place within a few minutes of the conclusion of the contract, but at the latest within one working day. Working days are all calendar days except Saturdays, Sundays and all public holidays in Germany.
8.1. Warranty rights are governed by the statutory provisions.
8.2. Liability is governed by the statutory provisions.
9.1. If you are a consumer and purchase a Voucher, you have a statutory right of withdrawal in accordance with the following instructions on withdrawal.
You have the right to withdraw from this contract within 14 days without giving any reason. The withdrawal period will expire after 14 days from the day of the conclusion of the contract.
To exercise the right of withdrawal, you must inform us (SimplyCodes GmbH, Turmstraße 49, 23843 Bad Oldesloe, telephone: +49 (0) 1522 7800630, e-mail: [email protected]) of your decision to withdraw from this contract by an unequivocal statement (e.g. a letter sent by post or e-mail). You may use the attached model withdrawal form, but it is not obligatory.
To meet the withdrawal deadline, it is sufficient for you to send your communication concerning your exercise of the right of withdrawal before the withdrawal period has expired.
Effects of Withdrawal
If you withdraw from this contract, we shall reimburse to you all payments received from you, including the costs of delivery (with the exception of the supplementary costs resulting from your choice of a type of delivery other than the least expensive type of standard delivery offered by us), without undue delay and in any event not later than 14 days from the day on which we are informed about your decision to withdraw from this contract. We will carry out such reimbursement using the same means of payment as you used for the initial transaction, unless you have expressly agreed otherwise; in any event, you will not incur any fees as a result of such reimbursement.

9.2. In the following cases, you cannot withdraw from your contractual declaration:
Expiry of the Right of Withdrawal
The right of withdrawal expires in the case of contracts for the supply of digital content which is not supplied on a tangible medium if SimplyCodes has begun performance of the contract, you have expressly consented to SimplyCodes beginning performance of the contract before expiry of the withdrawal period, you have confirmed your knowledge that, by giving your consent, your right of withdrawal expires upon commencement of performance of the contract, and SimplyCodes has provided you with a confirmation of this in the copy or confirmation of the contract.

10.1. When you make a purchase in the Webshop, SimplyCodes may credit you with loyalty points as part of the VGO loyalty programme. This applies regardless of whether you have registered. The loyalty points (referred to in the Webshop as “VGO XP”) are assigned and stored via the e-mail address you have provided. Loyalty points are not transferable to other e-mail addresses or persons. Loyalty points expire automatically if you do not make any further purchases in the Webshop via the associated e-mail address for a period of 24 months.
10.2. The amount of loyalty points credited depends on the turnover generated. Loyalty points are credited only after full payment and after expiry of the statutory or contractual withdrawal periods. If the contract is reversed (e.g. withdrawal), the loyalty points earmarked for that purchase are cancelled.
10.3. If, for example, you have collected 5,000 loyalty points, you can exchange them for a discount voucher worth EUR 5.00. The discount voucher can be redeemed exclusively in the Webshop at SimplyCodes and is limited to the purchase of voucher products or the payment of VGO service fees. The discount voucher cannot be paid out, is not transferable and cannot be combined with other discount promotions or benefit schemes.
11.1. Personal data is processed in accordance with the privacy policy of SimplyCodes, available at www.vgo-shop.com/datenschutz.
12.1. The contract between you and SimplyCodes is governed by German law, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. Mandatory consumer protection provisions of the EU member state in which the consumer has his or her habitual residence remain unaffected.
12.2. The exclusive place of jurisdiction for orders placed by merchants, legal entities under public law or special funds under public law is Bad Oldesloe.

13.2. SimplyCodes endeavours to resolve any differences of opinion amicably. Beyond this, SimplyCodes is not obliged to participate in dispute resolution proceedings before a consumer arbitration board and does not participate in such proceedings.
Should any provision of these Terms be or become wholly or partially invalid, this shall not affect the validity and performance of the remaining provisions of these Terms.

These agency terms apply to the brokering of prepaid products that SimplyCodes sells to the end customer (“Customer” or “you”) in the name and on behalf of the respective issuer via the webshop www.vgo-shop.com (“Webshop”) (“Prepaid Products”). Prepaid Products are marked in the Webshop with the notice “Agency sale in the name of [the issuer]”.
1.2. These agency terms do not apply to digital voucher products (“Vouchers”) that SimplyCodes sells in its own name via the Webshop.
1.3. The operator of the Webshop and broker of the Prepaid Products is SimplyCodes GmbH (“SimplyCodes”). The contact details of SimplyCodes are:

2.1. When a Prepaid Product is ordered via the SimplyCodes Webshop, two contracts are concluded:
2.2. The issuer of the ordered Prepaid Product is identified in the product description and in the order summary. The purchase contract is governed by the general terms and conditions of the issuer.
3.1. The contract is concluded and processed in German, French, Italian, Portuguese, Spanish or English.
The presentation of the Prepaid Products in the Webshop does not constitute a legally binding offer. Only by clicking the button “Order now with obligation to pay” do you submit a binding offer to conclude the agency agreement and the contract for the issue of the ordered Prepaid Product. All your entries are displayed in an order summary before the order becomes binding and can be corrected there. Confirmation of receipt of your order follows immediately by e-mail and at the same time constitutes acceptance of the contract. You will receive the contract text of the agency agreement and of the contract for the issue of the Prepaid Product by e-mail.
3.2. Orders are stored by SimplyCodes. If you are registered, you can view an overview of the orders you have placed in your user account.
4.1. Prepaid Products are delivered by e-mail to the e-mail address you have provided. If you have registered, the Prepaid Product will also be displayed in your customer account.
4.2. Delivery usually takes place within a few minutes of receipt of payment and successful completion of any identification checks, but at the latest within one working day. Working days are all calendar days except Saturdays, Sundays and all public holidays in Germany.
4.3. It is your responsibility to provide a functioning e-mail address that is accessible only to you and to adequately protect access to your e-mail inbox against access by unauthorised third parties. You bear the risk of loss and disclosure of the delivered Prepaid Products.
5.1. You owe the issuer the fee for the ordered Prepaid Product. Unless otherwise agreed, the fee corresponds to the nominal value of the ordered Prepaid Product.
5.2. You owe SimplyCodes an agency fee for the brokering, which is shown to you separately as the “VGO service fee” in the shopping cart and in the order summary before conclusion of the purchase contract.
5.3. All fees include the VAT applicable at the time.
5.4. The fees are due upon conclusion of the contracts.
6.1. The following payment methods are available for paying the fees owed: Mastercard, VISA, American Express, PayPal, Klarna, Zastrpay, tink, Wero, or SEPA bank transfer.
6.2. If you select a payment method under which the issuer or SimplyCodes makes advance performance or which therefore entails a risk of payment default, we reserve the right to carry out a credit check before accepting the order.
7.1. Liability is governed by the statutory provisions.
7.2. SimplyCodes is liable only for breaches of its own obligations under this contract. The issuer is solely liable for claims arising from the brokered contract for the issue of the Prepaid Product.
8.1. If you are a consumer, you have a statutory right of withdrawal with regard to the agency agreement with SimplyCodes in accordance with the following instructions on withdrawal.
If you requested that the services begin during the withdrawal period, you shall pay us an amount which is in proportion to what has been provided until you have communicated to us your withdrawal from this contract, in comparison with the full coverage of the contract.
8.2. In the following cases, you cannot withdraw from your contractual declaration:
In the case of a contract for the provision of services that obliges you to pay a price, the right of withdrawal expires upon complete provision of the service if, before provision began, you expressly consented to SimplyCodes beginning to provide the service before expiry of the withdrawal period, and you confirmed your knowledge that the right of withdrawal expires upon complete performance of the contract by SimplyCodes.

9.1. The Customer agrees that SimplyCodes transmits the data required for contract processing and identification to the respective provider, insofar as this is necessary for the performance of the contract or for compliance with regulatory obligations of the issuer.
9.2. Further information on the processing of personal data can be found in the privacy policy of SimplyCodes, available at www.vgo-shop.com/datenschutz.
10.2. The amount of loyalty points credited depends on the purchase volume. Loyalty points are credited only after full payment and after expiry of the statutory or contractual withdrawal periods. If the contract is reversed (e.g. withdrawal), the loyalty points earmarked for that purchase are cancelled.
11.1. The contract between you and SimplyCodes is governed by German law, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods.
